1. Introduction

Welcome to hAIv ("Company", "we", "our", "us"). These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and hAIv, concerning your access to and use of the hAIv website and our software plugins for Adobe Illustrator and Adobe Creative Cloud (collectively, the "Service").

By accessing or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

2. Service Description and License

hAIv provides localization tools that integrate with design software.

2.1 License Grant

Subject to your compliance with these Terms, hAIv grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your professional or personal design workflows.

2.2 Use Restrictions

You agree not to: (a) reverse engineer, decompile, or attempt to extract the source code of the Service; (b) use the Service for any illegal purpose; (c) resell or sub-license the Service (excluding the output content generated by your use).

3. AI Technology and Disclaimers

Important disclaimer regarding AI output

Our Service leverages third-party Large Language Models (LLMs) to generate translations and text adaptations. You acknowledge that AI technology is prone to errors, "hallucinations," and omissions.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We disclaim all warranties, express or implied, regarding the accuracy, reliability, or suitability of the translations for any specific purpose.

hAIv is NOT responsible for:

  • Translation errors, mistranslations, or cultural inaccuracies.
  • Any costs associated with printing, publishing, or distributing content containing errors.
  • Lost time or missed deadlines due to service unavailability or latency.

4. User Responsibilities

As a user of the Service, you agree that:

  • Verification: You are solely responsible for reviewing, proofreading, and verifying all output generated by the Service before any public use, printing, or production.
  • Content: You retain all rights to the designs and content you process through the Service. You represent that you have the necessary rights to translate such content.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and API keys.

5. Limitation of Liability

To the maximum extent permitted by law, in no event shall hAIv, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

Specifically, we are not liable for any financial losses arising from printing errors, media buys, or reputational damage caused by incorrect translations.

In no event shall our aggregate liability exceed the greater of (i) the amount you paid to us in the twelve (12) months prior to the claim, or (ii) Rs 1,000 INR.

6. Indemnification

You agree to defend, indemnify, and hold harmless hAIv and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • Your use and access of the Service, including any data or content transmitted or received by you;
  • Your violation of any term of these Terms;
  • Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights;
  • Any claim that your content caused damage to a third party.

7. Data and Privacy

We process your data in accordance with our Privacy Policy. By using the Service, you consent to such processing. We generally do not store your design content permanently; it is processed transiently for the purpose of translation.

8. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Maharashtra, India, without regard to its conflict of law provisions.

Any dispute arising out of or related to these Terms will be subject to the exclusive jurisdiction of the courts located in Maharashtra, India.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any significant changes. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
